Article 1: Name
This organization shall be known as the Loveland Camera Club, herein referred to as the Club.
Article 2: Objective
The Club shall exist as a non-profit organization to promote the art and science of photography for the enjoyment, education and benefit of its members.
Article 3: Meetings
Regular meetings and special events shall take place as designated by the Board and advice to the members.
Article 4: Membership
Any person, regardless of sex, race, color, or creed, with a sincere interest in photography may become a member by paying the appropriate membership dues.
Active and Honorary shall be the membership classifications. Active members are those whose dues are paid, and they shall have full voting and competition rights in the Club. By two-thirds majority vote of the Board, a person who has rendered meritorious service or brings distinction to the organization may be elected as Honorary Member without dues for any period up to life.
Article 5: Finances
The fiscal year of the Club shall be from January 1 through December 31. Dues shall be determined each year by the elected officers in an amount appropriate to maintain the solvency of the Club. Dues are to be paid on the member’s anniversary date. Dues not paid by the anniversary date shall constitute loss of membership. All dues are non-returnable and non-refundable.
An audit of the financial activities of the Society is to be conducted at the end of each fiscal year, and should be conducted no later than Jan. 30. Every effort should be made to include the outgoing Treasurer and incoming Treasurer in the audit along with two other Board Members for the new year. A written statement documenting the audit, including the signatures of the audit team, is to be kept with the Treasurer’s documents. If the Treasurer position changes hands between elections, an audit should be performed at the time of transfer of duties.
Article 6: Amendments
Amendments to these By-Laws may be initiated by the Board and approved by a majority of the members present at the meeting at which they are voted upon. Members must be notified in advance of a change of the By-Laws. If the By-Laws are amended, copies of the amendments will be given to all Board members.
Article 7: Elected Officers
The following elected officers shall conduct the Club's business, and shall be known as the Board of Directors (herein referred to as the Board).

- Secretary
- Treasurer
- Program chairperson(s)
- Past President (not elected; retained on Board to assure continuity of the Club’s business)
- Membership Chair
- Competition Chair
Qualifications for office are paid-up membership and a commitment to carry out the duties of the office. The elected officers shall be the governing and decision-making body of the Club. The term of office shall be coincidental with the fiscal year, January 1 through December 31.
The Board shall have the authority to conduct the regular business of the Club. Regular meetings of the Board shall" be held to transact the Club's business. A majority of the officers shall constitute a quorum. These meetings shall be open to all voting members.
Each officer shall have one vote, with the President casting a second vote if required to break a tie vote.
Article 8: Appointed Officers
The purpose of the appointed officers is to facilitate the meetings, special events, and general welfare of the Club. They shall be appointed by the Board from the paid-up membership. A list of current Appointed Officers/Chairs is on the Club website.
Article 9: Elections
The elected officers shall be elected annually by written ballot at the November meeting. A nominating committee will present a "slate" of candidates to the membership in September of each year, and nominations may be made from the floor at the election meeting. No written ballot is needed for an office that has only one nomination.
Officers are elected for a one-year term. The same person shall not serve as President for more than two successive years. Other officers may serve longer, subject to re-election each year.
Vacancies shall be filled by consensus of the Board. Vacancies of the President's office shall be filled by the Vice President.
Article 10: Duties of Elected Officers
Following are brief descriptions of the Mission for each Officer. Full Position Description and Duties can be found on the Club website for each Elected Officer.
President: Preside over all general meetings and Board meetings. The President may appoint chairpersons, establish committees, and delegate duties as required for the welfare of the Society. The President holds a voting position on the Board of Directors and should make every effort to attend all board meetings.
Vice President: Preside over all general meetings and Board meetings when the President is unavailable or vacates the office. He/she shall assist committee members as needed. The Vice President holds a voting position on the Board of Directors and should make every effort to attend all board meetings.
Secretary: Be the record keeper for the Club. The Secretary holds a voting position on the Board of Directors and should make every effort to attend all board meetings.
Treasurer: Account for all income and expenditures of the Club. The Treasurer holds a voting position on the Board of Directors and should make every effort to attend all board meetings.
Past President: Help guide the Club in the decision making process. The Past President holds a voting position on the Board of Directors and should make every effort to attend all board meetings.
Program Chair: Define programs and obtain quality speakers for the Club meetings. Coordinate the program schedule with the President and the Board of Directors. The Program Chair holds a voting position on the Board of Directors and should make every effort to attend all board meetings.
Membership Chair: Promote membership, obtain and compile membership sign-up forms, and encourage members to fill out online profiles. The Membership Chair holds a voting position on the Board of Directors and should make every effort to attend all board meetings.
Competition Director: Collect all images for competitions and prepare submissions for any competition so that judging and competition can take place in a reasonable and efficient manner. Run the monthly competition. The Competition Director holds a voting position on the Board of Directors and should make every effort to attend all board meetings.
Article 11: Duties of Appointed Officers

Article 12: Dissolution
Upon dissolution of the Club, the Board shall determine the means of disposal of the assets of the Club and pay all obligations from the funds available at the time.
Article 13: Miscellaneous
Roberts Rules of Order shall govern in all cases not covered in these By-Laws.
